1. Acceptance of these terms
These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “Customer”) and Morpheous (“Morpheous, ” “we,” “us,” or “our”), governing your access to and use of Morpheous at app.morpheous.cloud and any related services, software, content, and documentation (collectively, the “Service”).
By creating an account, clicking a button labeled “I agree,” or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
You must be at least eighteen (18) years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to both you personally and that entity.
2. Description of the Service
Morpheous is an AI-driven landing page builder. The Service lets you generate, edit, publish, and analyze web pages through chat-driven page generation, image generation, popup design, custom-domain hosting, and visitor analytics. We may add, modify, or remove features at our discretion.
3. Accounts and security
- You must register for an account with a valid email address. You agree to provide accurate information and to keep it current.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You will notify rossifilms@gmail.com promptly of any unauthorized access or security incident affecting your account.
- You will not share, sell, or transfer your account credentials. One account per individual or entity unless we expressly approve otherwise.
- We may suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.
4. Subscription, billing, and free trial
4.1 Plans and pricing
The Service is offered on subscription plans. Plan features and prices are displayed on our pricing page at sign-up and may change from time to time on notice as described in Section 4.7.
4.2 Free trial
We may offer a fourteen (14) day free trial. To start a trial you must enter a valid payment method. If you do not cancel before the trial ends, your payment method will automatically be charged the recurring subscription fee for the plan you selected. You may cancel at any time during the trial through the Stripe Customer Portal at no charge.
4.3 Automatic renewal
Paid subscriptions automatically renew each billing period (monthly unless otherwise stated) at the then-current rate until you cancel. You authorize Morpheous (acting through Stripe) to charge your payment method on file for each renewal until you cancel. You can cancel at any time through the Stripe Customer Portal; cancellation takes effect at the end of the current billing period.
4.4 Payment processor
Payments are processed by Stripe, Inc. We do not store or process your full payment-card details. Your use of Stripe is subject to Stripe’s terms and privacy policy.
4.5 Taxes
Fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, or similar taxes other than taxes on our net income.
4.6 Refunds
Except where required by applicable law, all fees are non-refundable. We do not provide pro-rated refunds for partial billing periods, downgrades mid-cycle, or unused services.
4.7 Price changes
We may change subscription fees from time to time. We will give you at least thirty (30) days’ advance notice of any price increase, which will take effect at your next renewal after the notice period. If you do not agree to the new price, you may cancel before it takes effect.
4.8 Past-due accounts
If your payment fails, we may retry the charge, suspend Service access, or terminate your account after reasonable notice. You remain responsible for any unpaid fees.
5. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right, including intellectual property, privacy, publicity, or contract rights.
- Generate or publish content that is fraudulent, deceptive, defamatory, libelous, harassing, threatening, abusive, hateful, or that incites violence.
- Generate or publish content depicting sexual exploitation of minors, non- consensual sexual content, or content that violates applicable obscenity laws.
- Send spam, run unsolicited mass mailings, or otherwise violate the CAN-SPAM Act, CASL, or equivalent anti-spam laws.
- Run phishing campaigns, distribute malware, or attempt to defraud Visitors.
- Sell or promote regulated goods (firearms, controlled substances, prescription drugs, gambling, securities) unless you have all required licenses and meet all applicable disclosure rules.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Probe, scan, attack, or attempt to compromise the security of the Service or any other Customer’s account or data.
- Reverse-engineer, decompile, or attempt to derive source code from the Service, except to the extent applicable law forbids restricting such activity.
- Use any automated means (scrapers, bots, AI agents) to access the Service in a way that exceeds normal human use or that imposes unreasonable load.
- Use the Service or its outputs to develop, train, fine-tune, or benchmark a competing product.
- Bypass or attempt to bypass usage limits, rate limits, or subscription gates.
We may suspend, throttle, or terminate accounts that we reasonably believe violate this Section, with or without notice depending on the severity.
6. Your content and license to us
6.1 You own your content
As between you and Morpheous, you retain all right, title, and interest in and to the content you upload, create, or generate using the Service (“Customer Content”), including pages, text, images, video, prompts, and chat history.
6.2 License you grant us
You grant Morpheous a worldwide, royalty-free, non-exclusive license to host, store, copy, transmit, display, modify (only as needed for technical operation — e.g. encoding, resizing, transcoding), and create derivative works of Customer Content solely to operate, provide, secure, and improve the Service for you, including transmitting it to subprocessors listed in our Privacy Policy. This license ends when you delete the content or close your account, except for backups retained under our retention schedule and aggregated, de-identified data.
6.3 No training
We do not use Customer Content to train any general-purpose AI model, and we transmit it only to AI providers (Anthropic, Google) that have committed not to train on customer API content.
6.4 You represent and warrant
- You own or have all necessary rights to Customer Content and to the prompts you submit.
- Customer Content does not infringe or misappropriate any third party’s intellectual-property, privacy, publicity, or contractual rights.
- Customer Content does not violate any law and does not breach Section 5 (Acceptable Use).
7. AI-generated output
7.1 How AI works in the Service
The Service uses large language models and image models from Anthropic and Google to generate page copy, layouts, and imagery from your prompts.
7.2 Disclaimer about AI output
AI output is probabilistic. It may be inaccurate, incomplete, biased, offensive, or unintentionally similar to existing works. Morpheous does not guarantee the accuracy, originality, legality, or fitness for any particular purpose of any AI output. You are solely responsible for reviewing, editing, and verifying any AI-generated content before you publish it or rely on it.
7.3 Rights in AI output
Subject to your compliance with these Terms and the underlying AI providers’ terms, Morpheous assigns to you, to the extent we hold any rights, all of our rights in AI output generated specifically for you in response to your prompts. The same or similar output may be generated for other users from different prompts, and you do not have exclusivity over the underlying model outputs.
7.4 No professional advice
AI output is not legal, medical, tax, financial, or other professional advice. Do not rely on it for any such purpose.
8. Feedback
If you send us suggestions, feature requests, or other feedback, you grant Morpheous a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without compensation or attribution.
9. Third-party services and integrations
The Service uses Anthropic, Google AI, Stripe, Supabase, SendGrid, Vercel, Bunny.net, Cloudflare, Inngest, and (optionally, when you connect it) GoHighLevel to deliver parts of the Service. Your use of those integrations is also subject to those providers’ terms and privacy policies. We are not responsible for third-party acts or omissions.
10. Intellectual property in the Service
Morpheousand its licensors own all right, title, and interest in and to the Service itself, including all software, designs, trademarks, logos, and documentation (the “MorpheousIP”). Nothing in these Terms transfers any rights in the Morpheous IP to you, except for the limited license to access and use the Service while your subscription is active and you remain in compliance with these Terms.
11. DMCA / copyright complaints
We respect intellectual-property rights and respond to valid notices under the Digital Millennium Copyright Act (DMCA). If you believe Customer Content infringes your copyright, send a written notice to our designated agent that includes:
- A physical or electronic signature of the copyright owner or an authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material claimed to be infringing and the URL where it appears on the Service.
- Your contact information (address, telephone number, email).
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
Designated DMCA agent: Morpheous c/o rossifilms@gmail.com. We may terminate the accounts of repeat infringers.
12. Beta features
We may label some features “beta,” “preview,” “experimental,” or similar. Beta features are provided as-is, may be changed or discontinued at any time, and are not supported under any service-level commitment, whether or not we offer one for the rest of the Service.
13. Termination
13.1 By you
You may cancel your subscription at any time through the Stripe Customer Portal. You may close your account at any time by emailing rossifilms@gmail.com.
13.2 By us
We may suspend or terminate your access to the Service at any time, with or without notice, if (a) we reasonably believe you have violated these Terms; (b) we are required to do so by law; (c) providing the Service to you is no longer commercially viable; (d) your payment is past due; or (e) your account has been inactive for an extended period.
13.3 Effect of termination
On termination, your right to access the Service ends immediately. We may delete Customer Content according to the retention schedule in our Privacy Policy. Sections that by their nature should survive termination (including ownership, indemnification, disclaimers, limitation of liability, and dispute resolution) will survive.
14. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORPHEOUS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF DATA, QUIET ENJOYMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR APPROPRIATE FOR YOUR PURPOSES.
Some jurisdictions do not allow the disclaimer of certain warranties, in which case the foregoing disclaimers apply to the maximum extent permitted by law.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MORPHEOUS, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF MORPHEOUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MORPHEOUS’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the foregoing limitations apply to the maximum extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless Morpheousand its officers, directors, employees, and agents from and against any third-party claim, demand, loss, liability, damage, judgment, settlement, and reasonable attorneys’ fees arising out of or relating to:
- Your Customer Content, including AI output you publish or rely on;
- Your use of the Service in violation of these Terms or applicable law;
- Your violation of any third party’s rights, including IP and privacy;
- Pages, products, or services you publish or sell through the Service, including claims by Visitors arising from such pages.
We will give you reasonably prompt notice of any indemnifiable claim, let you control the defense (using competent counsel), and reasonably cooperate at your expense. You may not settle any claim in a way that requires admission or payment by Morpheous without our prior written consent.
17. Governing law
These Terms are governed by the laws of the State of Florida, U.S.A., without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Dispute resolution; binding arbitration; class-action waiver
Please read this section carefully. It requires most disputes between you and Morpheous to be resolved by binding individual arbitration rather than in court, and waives your right to participate in a class action.
18.1 Informal resolution first
Before filing a claim, you agree to first contact us at rossifilms@gmail.com with a written description of the dispute and your contact information. We will attempt to resolve the dispute informally within sixty (60) days.
18.2 Binding arbitration
Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in Pasco County, Florida, or by video conference at your election, unless the arbitrator orders otherwise. Judgment on the award may be entered in any court of competent jurisdiction.
18.3 Class-action waiver
YOU AND MORPHEOUSAGREE TO BRING DISPUTES ONLY IN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS.
18.4 Exceptions
Either party may bring an individual action in small-claims court for disputes within its jurisdictional limit. Either party may also seek injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights.
18.5 Opt-out
You may opt out of this arbitration agreement by emailing rossifilms@gmail.comwith the subject line “Arbitration Opt-Out” within thirty (30) days of first agreeing to these Terms. If you opt out, the rest of these Terms still apply.
18.6 Venue for non-arbitrable claims
For any claim not subject to arbitration, you and Morpheous consent to the exclusive jurisdiction and venue of the state and federal courts located in Pasco County, Florida.
19. Force majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, civil or military authority, fire, floods, earthquakes, pandemics, accidents, network or power failures, or unavailability of upstream providers.
20. Modifications to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by posting a notice in the Service at least seven (7) days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree, stop using the Service before the effective date.
21. Notices
Legal notices to Morpheous must be sent to rossifilms@gmail.com in writing. We may send notices to you at the email address on file for your account or by posting in the Service.
22. Export control and sanctions
You represent that you are not located in, ordinarily resident in, or a national of any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of restricted or denied parties. You will not use the Service in violation of any export-control or sanctions laws.
23. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or by operation of law. Any non-permitted assignment is void.
24. Severability; no waiver
If any provision of these Terms is held invalid or unenforceable, the rest of the Terms will remain in effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Our failure to enforce any right or provision is not a waiver of that right or provision.
25. Entire agreement
These Terms, together with our Privacy Policy and any plan-specific terms presented at sign-up, constitute the entire agreement between you and Morpheous regarding the Service and supersede all prior understandings.
